Xytec & Combo Product Lines Purchase FAQ

Effective March 8th, 2007, Myers Industries, Inc. has acquired strategic assets of Schoeller Arca Systems, Inc. North America . The purchase includes foldable pallet containers which will be integrated with the Buckhorn brand of material handling products. We want to share this exciting news with you and let you know how this transition will benefit you as our customer.

This FAQ was set up to address some common questions and to provide additional information about the transaction and the subsequent transition of these products to Buckhorn. This site will be updated as new information develops.


Is this a merger between Arca and Buckhorn?

The two companies are not merging. Buckhorn’s parent company, Myers Industries, purchased strategic assets of Schoeller Arca Systems’ Xytec and Combo line of products. This includes any molds, equipment, and inventory related to these product lines. Schoeller Arca Systems, North America will continue to operate in the US - separately from Buckhorn - with their line of plastic pallets and foldable hand-held containers. The Xytec® and Combo™ product lines will be integrated into the Buckhorn® brand, part of Myers Industries’ North American Material Handling Segment.

What are the Xytec and Combo products and what are they used for?

The Xytec line of collapsible pallet containers consists of 32” x 30”, 48” x 40” and 48” x 45” footprints in various heights, and includes the EL Extended Length containers and Highwall Extended Height containers. The Combo line of collapsible Intermediate Bulk Containers (IBC) are suited for shipping and storing large volumes of fluids and will complement Buckhorn’s Citadel ™ line of IBC’s. Why has Myers acquired the strategic assets from Schoeller Arca Systems?

This strategic asset purchase is intended to strengthen Buckhorn’s brand position as the leading reusable packaging solutions provider with superior resources to help customers reduce supply chain costs. The purchase also brings with it critical customers and markets for the Buckhorn brand.

How will this acquisition benefit partners?

This acquisition allows us to provide additional options to the companies who work with Buckhorn to design and sell internal packaging. Through Buckhorn, our sister companies under Myers Industries, Inc. can now offer this extended product mix to select customers.

What are Buckhorn's integration plans for these assets?

Buckhorn will be incorporating the Xytec and Combo products into our product mix. Manufacturing and inventory will move to Buckhorn facilities and our sales and customer service teams will be fully trained to provide complete product support.

How do I order Xytec or Combo products? or When can I order Xytec or Combo products from Buckhorn?

Please use your current channels for pricing and distribution until May 1st, 2007, or call (800) 543-4454 if you have specific requirements.

Will the part numbers change?

The current part numbers for the Xytec and Combo products are not compatible with our production systems. The part numbers will change. We will provide cross-reference materials and identification of old part numbers on invoices and packing slips.

Will the FOB points change?

FOB points will change by May 7 th, 2007 or sooner. New FOB points will be either Bluffton, IN or Springfield, MO.

When does the acquisition close? When will the integration be complete?

The purchase closed March 8, 2007. We will make every effort to make the transition as smooth and timely as possible. It is our intention to manufacture and ship parts according to existing schedules in order to meet the demands of our customers. We expect the transition will be complete by August 31, 2007.

What happens to Schoeller Arca Systems employees? Will I have a new sales contact?

During this transitional phase, SAS employees will serve in their current functions until May 1 st, 2007. Some employees may elect to apply for a position with Buckhorn. Until then, please use your current channels for pricing and distribution, or call (800) 543-4454 if you have specific requirements.

How will this affect the status of my existing order? Where do I send my Purchase Order? What happened to current Purchase Orders?

It is our intention to manufacture and ship parts according to existing schedules in order to meet the demands of our customers. During this transition, we expect many customers will need to revise their purchase orders to reflect Buckhorn Inc. as the vendor. To avoid duplication, all change notices should be sent to Buckhorn Inc., attention Kris Roach, Customer Relations Manager.

Who will offer the hand-held containers and pallets currently under the Schoeller Arca name?

Schoeller Arca Systems, North America will continue to offer plastic pallets and foldable hand-held containers in the US . The decision to sell the collapsible bulk box product lines was based on strategic plans to further strengthen their position in the US market with plastic pallets and small foldable containers. Buckhorn will carry the Stack & Nest products and the Lugs & Pails.

Can we purchase European products from Arca Systems?

Products offered in the European market by Schoeller Arca Systems N.V. were not included in this transaction and are still available for sale through Schoeller Arca’s European distribution channels.

Whom do I contact for repairs?

What happens to my contract after May 1st? Will pricing be going up?

Be assured that customer satisfaction at all levels is our highest priority as we plan this transition. We will continue to support the products you have purchased. Any existing contracts will be reviewed by your sales representative within the next few weeks.
